These Terms and Conditions ("Terms") set out the rules, obligations, and legal relationship between you, the user or client, and SuperSEM, a digital marketing platform operating as a trading name of London Commerce Ventures Ltd., a company registered in England and Wales. These Terms govern your access to and use of our website, platform, and any SEO audit, content creation, backlink building, site optimization, or related services we provide.

By visiting our website, using our platform, communicating with our team, submitting an enquiry, signing up for an account, or engaging in any form of business with SuperSEM, you acknowledge that you have read, understood, and agreed to comply fully with these Terms. If at any point you do not accept these Terms, you must stop using our website and platform and must not proceed with any service engagement. Your continued use of our website, platform, or services constitutes ongoing acceptance of the Terms and any updates that may be made in future.

These Terms are designed to protect both parties, ensure transparency in how we operate, and clearly outline the responsibilities, expectations, and limitations associated with using our services.

Website and Platform Use

By using our website and platform, you agree that you will not attempt to access areas that are restricted, interfere with the website's or platform's functionality, or use the website or platform in any manner that could cause harm to the business, its users, or its systems. All content on the website and platform, including but not limited to audit reports, recommendations, content, designs, and methodologies, is the intellectual property of London Commerce Ventures Ltd., and unauthorised copying, distribution, or modification is strictly prohibited.

Services Provided

SuperSEM provides digital marketing and SEO services, including but not limited to:

SEO website audits and analysis
Technical SEO optimization
On-page and off-page SEO services
Content creation and optimization
Backlink building and link acquisition
Competitor analysis and benchmarking
SEO reporting and analytics
Website optimization services
Related digital marketing consultancy services

The scope of work for each client will be defined in writing through a proposal, quotation, service agreement, or platform subscription plan. Acceptance of any proposal, whether through signature, email confirmation, platform subscription, or commencement of work, constitutes a binding agreement under these Terms.

Client Responsibilities

Clients engaging with SuperSEM are required to:

Provide accurate information about their website, business, and marketing goals
Grant timely access to website accounts, analytics platforms, and other necessary systems
Provide brand guidelines, creative assets, and any other materials necessary for service execution
Ensure that their websites, tracking systems, and accounts remain active and functional
Approve content and recommendations in a timely manner when required
Comply with all applicable laws and regulations regarding their website and marketing activities

SuperSEM is not responsible for service underperformance resulting from missing access, incorrect information, delayed approvals, technical issues within the client's systems, or non-compliance with our recommendations.

Fees, Billing, and Payment Terms

All fees for services will be outlined within the client's proposal, service agreement, or platform subscription plan. Subscription plans operate on a monthly or annual basis as selected by the client. Unless otherwise agreed in writing, all payments must be made in advance of service delivery or according to the billing cycle of the selected subscription plan.

Late payments may result in the immediate suspension of services and access to the platform. SuperSEM does not guarantee specific results, search engine rankings, organic traffic increases, return on investment (ROI), sales volume, lead volume, or any particular marketing outcome, as performance is dependent on multiple external factors including search engine algorithm changes, market conditions, competition, industry trends, and consumer behavior.

Annual Commitment Plans Billed Monthly

Certain subscription plans may be offered on an annual commitment basis with monthly billing at a discounted rate (“Annual Plan”). The discounted pricing is contingent upon the Customer’s agreement to maintain the Annual Plan subscription for a minimum of twelve (12) consecutive months from the plan start date, even though payments are collected monthly.

Customers choosing an Annual Plan acknowledge and agree that the total subscription fees for the full annual term are due regardless of the monthly billing schedule. Failure to pay any monthly installment when due shall constitute non-payment for the purposes of these Terms.

Subscription Terms and Cancellation Policy

Platform subscriptions operate on a monthly or annual commitment basis as selected during signup. Monthly subscriptions renew automatically every thirty days. Annual commitment subscriptions renew automatically every month and provided reduced monthly pricing based on annual commitment.

Customers may cancel their subscription at any time in accordance with these Terms. For subscriptions purchased on a month-to-month basis, cancellation will take effect at the end of the then-current billing period.

For subscription plans purchased with an annual commitment but billed monthly (“Annual Plans”), cancellation does not relieve the Customer of the obligation to pay fees owed for the full twelve (12) month commitment, except where required by applicable law. The discounted monthly pricing offered under an Annual Plan is conditional upon completion of the full annual term.

Any work completed prior to the effective cancellation date remains payable in full. SuperSEM reserves the right to terminate any service agreement or subscription without notice if a client breaches these Terms, provides false information, behaves in an abusive manner, engages in activities that violate search engine guidelines or applicable laws, or fails to make required payments.

Early Termination, Non-Payment, and Loss of Discount

If an Annual Plan is cancelled by the Customer or terminated by SuperSEM due to non-payment or breach before completion of the twelve (12) month term, the Customer agrees that the discounted Annual Plan pricing shall be forfeited. In such cases, SuperSEM reserves the right to retroactively apply the standard month-to-month subscription rate in effect at the time the Services were provided for all completed months, and any resulting difference between the discounted rate paid and the standard rate shall become immediately due and payable.

SuperSEM may suspend or restrict access to the Services for overdue payments and may terminate the subscription if payment is not received within a reasonable period.

SEO Audit Tool

SuperSEM provides a free SEO audit tool that analyzes websites and provides recommendations. The audit tool is provided "as is" and results are based on automated analysis. While we strive for accuracy, audit results may not capture all issues or may include false positives. The audit tool is for informational purposes and should not be the sole basis for making critical business decisions. SuperSEM is not liable for any actions taken based on audit results.

Confidentiality

Both SuperSEM and the client agree to maintain strict confidentiality regarding all business information, documents, strategies, data, and audit results shared during the course of the engagement. SuperSEM may use non-identifiable performance data, aggregated statistics, and anonymized case studies for internal reporting, training, marketing, or case-study purposes unless the client requests otherwise in writing. No confidential information will be disclosed to third parties except where legally required.

Intellectual Property Rights

All audit reports, content, creative materials, advertising copy, strategy documents, designs, methodologies, frameworks, and other deliverables produced by SuperSEM remain the intellectual property of London Commerce Ventures Ltd. until all associated invoices have been paid in full. Upon full payment, the client receives a non-exclusive licence to use these materials for their business purposes. Clients may not resell, publish, or distribute any proprietary frameworks, templates, methodologies, or audit tools provided by SuperSEM without written permission.

Limitation of Liability

To the fullest extent permitted by law, SuperSEM and London Commerce Ventures Ltd. shall not be held liable for any indirect, incidental, or consequential loss, including loss of revenue, profit, goodwill, data, or search engine rankings. SEO and digital marketing results cannot be guaranteed due to the nature of search engine algorithms, changes in platform policies, competitive environments, and external market factors. Search engine rankings and organic traffic are subject to frequent changes beyond our control.

In all cases, the total liability of SuperSEM shall be limited to the fees paid by the client within the thirty-day period preceding any claim.

Use of Third-Party Platforms and Search Engines

Our services rely on the functionality and policies of third-party platforms such as Google, Bing, and other search engines, as well as analytics platforms, content management systems, and other tools. SuperSEM is not responsible for search engine algorithm changes, account suspensions, disapprovals, delays, errors, or platform policy changes that may impact the performance or delivery of services. These platforms and search engines operate independently, and their decisions and policies are outside our control.

Data Protection and Privacy Compliance

SuperSEM complies with all applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR) and the General Data Protection Regulation (GDPR). Any personal data collected will be processed securely and in accordance with our Privacy Policy. Clients are responsible for ensuring that their own websites, landing pages, and data practices are compliant with applicable privacy laws, including cookie consent requirements, user data handling, and retention policies. SuperSEM is not liable for any non-compliance on the client's side.

Indemnification

Clients agree to indemnify and hold harmless SuperSEM and London Commerce Ventures Ltd. from any claims, damages, losses, fines, or liabilities arising from their misuse of our platform, failure to comply with relevant laws, breach of these Terms, use of incorrect or misleading business information, or any actions taken based on our recommendations or audit results.

Amendments to These Terms

SuperSEM reserves the right to update or modify these Terms at any time. Any changes will take effect immediately upon being posted on our website. Continued use of our website, platform, or services following such changes will constitute acceptance of the revised Terms. We recommend reviewing these Terms periodically.

Governing Law

These Terms and any disputes arising from them shall be governed by and interpreted in accordance with the laws of England and Wales. Any legal proceedings will take place exclusively within the courts of England and Wales.
